BrightCell Logistics’ Principles of Supplier Conduct.

1. INTRODUCTION

At BRIGHTCELL LOGISTICS, we´re committed to undertake business ethically and to respect all the laws, norms, and applicable regulations (Collectivity, “Laws”). Our ethics are based on our employees, valued consultants, contractors, suppliers, and third parties that have a contractual relationship to offer products or services to or on behalf of BRIGHTCELL LOGISTICS, (Collectivity, “Suppliers”). This is the reason why we have established our Principles of Supplier Conduct (the “Principles”).

As a Supplier of BRIGHTCELL LOGISTICS, you are a part of our continued success. However, the continuity of our success – as well as yours- depends on an ethical and professional commercial conduct.

In our business relationships, we expect our suppliers to adhere to business principles that are coherent with ours. As one of our valuated Suppliers, we ask you and your subcontractors to review and comply with our Principles and required regulations to undertake business with BRIGHTCELL LOGISTICS. At the moment, we require our Suppliers to commit to respect our Principles and all the applicable Laws. In case the requirements of such Laws and these principles are in conflict, the Auppliers must comply with the highest standard in accordance with applicable law.

2. BUSINESS INTEGRITY
  • 2.1 Fight Against Bribery and Corruption.
    • Do not tolerate any type of illegal and unethical activity, such as bribery, corruption, kickbacks, extortion, collusion, and fraud.
    • Do not grant, offer or promise anything of value to government officers or a private sector counterparty to influence an official action or get undue advantage (for example, give or accept undue facilitation payments).
  • 2.2 Awareness of Conflicts of Interest.
    • Avoid actions that may trigger a conflict of interest or that can improperly affect BRIGHTCELL LOGISTICS business decisions or get unfair advantage.
  • 2.3 Confidential Information, Intellectual Property Rights and Personal Data.
    • Avoid inappropriate use of confidential information, intellectual property rights or personal data.
  • 2.4 Fight Against Money Laundering.
    • Do not ease, either directly or indirectly, money laundering.
  • 2.5 Customs, Export control and Penalties.
    • Comply with all applicable customs, export control and economic and business sanctions Laws.
3. HUMAN AND LABOR RIGHTS
  • 3.1 Modern enslavement and forced work.
    • Do not participate or benefit, either directly or indirectly, from any form of forced work, included easement labor, involuntary prison labor, slavery or any work performed under threat of penalty or coercion.
    • The employees must have the right to freely terminate their employment, according to a reasonable pre-notice, in accordance with the applicable Law, without undue penalties imposition.
  • 3.2 Freedom of Association and Right of Collective Negotiation
    • Acknowledge and respect all employees legal rights, included women, immigrant employees, minorities, and other vulnerable groups, to freedom of associating, organizing and negotiating collectively.
    • In cases in which applicable Laws restrict the right of freedom of association, and collective negotiation, BRIGHTCELL LOGISTICS expects Suppliers to allow and do not hinder alternative and independent ways of employees representation.
  • 3.3 Complaint Channels
    • Provide complaint channels to all employees to file complaints regarding the workplace or how they are treated by their employer. Workers shall not suffer prejudice, retaliation, or victimization for filling a complaint.
  • 3.4 Child Labor
    • Do not take part or benefit in any way of child labor, as defined in the applicable Law, nor employ underage employees to carry out dangerous work, such defined in local Laws.
  • 3.5 Diversity, equality, inclusion, and no discrimination
    • Promote equality, diversity, inclusion and do not undertake any type of discrimination in the hiring, remuneration, conditions of employment, information access, promotion, retirement procedure, dismissal or at decision taking. Illegitimate motives for discrimination are, among others, raze, color, age, veteran condition, gender or identification gender, sexual orientation, pregnancy, ethnic origin, disability, religion, political affiliation, membership in a labor union, nationality, medical condition, social origin or caste, and social or marital state.
  • 3.6 Indigenous and tribal communities
    • Respect indigenous and tribal communities’ rights, as well as their social, cultural, environment and economic interests, including their relationship with the land and others natural resources.
    • Strive to support and stimulate indigenous business initiative and economic and business development providing indigenous and tribal communities´ more opportunities to participate in the economy when applicable or when the local Laws require it.
  • 3.7 Working hours, salaries, and benefits
    • Comply with all applicable Laws regarding work schedules, fair salaries payments for labor force, and comply with all applicable Laws on wages and indemnifications.
4. HEALTH AND SECURITY
  • 4.1. General
    • Carry out all operations in secure and healthy work conditions, in accordance with applicable Law.
    • Observe the general principles of health and safety risk prevention, including identifying, minimizing, and preventing the hazards, using competent personnel and providing and maintaining safe equipment and tools, including individual protection equipment, as required.
  • 4.2 Dangerous Substances
    • Comply all relevant legislation regarding dangerous substances.
  • 4.3 Work Conditions
    • Provide a healthy and safe work environment, included any Supplier provided accommodation, for all employees and others affected by your activities, in accordance with all applicable Laws.
5. EVIRONMENT PROTECTION.
  • 5.1. General
    • Comply with all applicable Laws, and, in countries where environment Laws are not evident or enforced, ensure reasonable practices to manage environmental impact.
    • Strive to avoid and minimize any prejudicial impact on the environment and the ecosystems.
  • 5.2 Packing product
    • Strive to use environmentally friendly product packaging and comply with three key aspects of sustainability: Packaging System (Minimal/ Adequate use of materials), Packaging materials (recyclable or compostable), and Packaging components (non-toxic to humans and the ecosystems).
